Acceptance of Terms

By accessing and using the website echosummoner.world and the services provided by EchoSummoner SARL ("we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use our website or services.

These Terms of Service constitute a legally binding agreement between you and EchoSummoner SARL, a company registered in Luxembourg with registration number RCSB698547.

Description of Services

EchoSummoner provides EdTech startup business model consulting services, including but not limited to:

  • Business model design and development
  • Market strategy consulting
  • Growth optimisation services
  • Educational technology market guidance
  • Strategic planning and implementation support

Our services are provided through various channels including our website, email communications, telephone consultations, and in-person meetings.

User Obligations and Conduct

When using our services, you agree to:

  • Provide accurate and complete information when requested
  • Use our services only for lawful purposes and in accordance with these terms
  • Respect our intellectual property rights and those of third parties
  • Not attempt to gain unauthorised access to our systems or networks
  • Not use our services to transmit harmful, offensive, or illegal content
  • Comply with all applicable laws and regulations
  • Pay all fees and charges associated with your use of our services in a timely manner

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

Intellectual Property

All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, images, software, and methodologies, are the exclusive property of EchoSummoner or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our intellectual property without our prior written consent.

Any feedback, suggestions, or ideas you provide to us regarding our services may be used by us without compensation or attribution to you.

Clients retain ownership of their proprietary business information and data shared with us during consulting engagements, subject to our privacy policy and confidentiality agreements.

Service Terms and Payments

Consulting services are provided under separate service agreements that specify the scope, deliverables, timeline, and fees. Payment terms are outlined in individual service agreements and invoices.

All fees are quoted in Euros (EUR) and are exclusive of applicable taxes unless otherwise stated. Late payment charges may apply to overdue invoices as specified in service agreements.

We reserve the right to modify our service offerings and pricing with reasonable notice to existing clients.

Limitation of Liability

To the maximum extent permitted by law, EchoSummoner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for all claims arising from or relating to our services shall not exceed the amount paid by you to us for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

We provide our services "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these terms shall limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited by law.

Confidentiality

We understand that you may share confidential information with us during our engagement. We commit to maintaining the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law.

Similarly, information about our methodologies, processes, and business practices shared during our engagement is confidential and should not be disclosed to third parties without our consent.

Governing Law

These Terms of Service and any disputes arising from or relating to our services shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles.

Any legal action or proceeding arising under these terms shall be brought exclusively in the competent courts of Luxembourg, and you hereby consent to the personal jurisdiction and venue therein.

For clients located in other EU member states, you may also bring proceedings in the courts of your country of residence in accordance with EU regulations.

Termination

Either party may terminate a consulting engagement in accordance with the terms specified in the relevant service agreement. Termination does not relieve either party of obligations incurred prior to termination.

We reserve the right to suspend or terminate your access to our website and services immediately, without prior notice, if you breach these terms or engage in conduct that we deem inappropriate or harmful.

Upon termination, you must cease all use of our services and return or destroy any confidential information in your possession.

Provisions of these terms that by their nature should survive termination shall survive, including intellectual property rights, confidentiality obligations, and limitation of liability.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of significant changes by posting the updated terms on our website and updating the "last updated" date.

Your continued use of our services after any changes constitutes acceptance of the new terms. If you do not agree to the modified terms, you should discontinue use of our services.

For ongoing consulting engagements, material changes to terms will be communicated directly to affected clients with reasonable notice.

Severability and Entire Agreement

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

These Terms of Service, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and EchoSummoner regarding the use of our services.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term or condition.
